Rules, responsibilities, and partner agreements
1. General Provisions
Welcome to TIMEPLACEME. By accessing or using our application, website, or related services, you agree to these Terms of Service. If you do not agree, please do not use the platform.
TIMEPLACEME is an intermediary technology platform that helps users and approved partners list, discover, gift, request, and receive access to events and free tickets. Unless we expressly state otherwise in writing, TIMEPLACEME is not the event organizer, venue, promoter, ticket issuer, ticket seller, reseller, broker, or guarantor of admission.
1.1 Platform Purpose
- TIMEPLACEME is designed for discovering events and exchanging event access as free gifts or promotional access.
- Selling, reselling, auctioning, bartering, or commercially exploiting tickets, invitations, QR codes, vouchers, reservations, or event access through TIMEPLACEME is strictly prohibited.
- Any ticket or event access uploaded to TIMEPLACEME must be offered free of charge. Uploading paid resale listings or requesting payment outside the platform is not allowed.
- Users and partners must provide accurate, current, and complete information when registering, uploading content, creating events, gifting tickets, or communicating through the platform.
- Users are responsible for deciding whether to attend an event and for complying with event rules, venue rules, organizer terms, safety requirements, and applicable law.
- Geolocation may be used for event discovery, matching, and proximity-based recommendations, as described in our Privacy Policy.
- We may update these Terms from time to time and will notify users of significant changes where required.
1.2 Timepoints and Loyalty Features
- Timepoints and other loyalty features are promotional platform features only. They are not money, stored value, currency, gift cards, securities, or payment instruments.
- Timepoints have no cash value, cannot be sold, transferred for money, withdrawn, refunded, or exchanged for cash, and do not represent a purchase of a ticket.
- We may modify, suspend, or discontinue Timepoints or other loyalty features where necessary to protect the platform, comply with law, or prevent misuse.
1.3 Violations and Account Restrictions
We may limit, suspend, or terminate access to TIMEPLACEME, remove content, disable event listings or tickets, cancel platform actions, or block accounts where we reasonably believe a user or partner has violated these Terms, misused the service, uploaded unlawful or infringing content, attempted commercial resale, engaged in fraud, repeatedly failed to attend accepted events without justification, or created risk for other users, partners, TIMEPLACEME, or third parties.
2. User Content and Ticket Ownership
2.1 Ticket Ownership Representation
By uploading, gifting, sharing, or transferring a ticket or event access through TIMEPLACEME, you represent and warrant that:
- You are the lawful owner of the ticket or have explicit authorization from the lawful owner, organizer, issuer, or other authorized party to upload, share, gift, and transfer it through the platform.
- You have the right to transfer the ticket or event access free of charge under the terms set by the event organizer, venue, ticket issuer, original seller, and applicable law.
- The ticket is valid, authentic, unused, not previously redeemed, not resold, not double-booked, not fraudulently obtained, and not transferred to another person through any other channel.
- The transfer through TIMEPLACEME does not violate any applicable law, contract, third-party right, event rule, organizer term, venue policy, ticket issuer term, or platform policy.
- You will not upload tickets or access credentials for events where free transfer is prohibited or where you lack the required rights or permissions.
2.2 Content Rights and Brand Materials
By uploading, entering, or displaying any content on TIMEPLACEME, including ticket images, QR codes, event posters, event descriptions, photos, venue information, business names, logos, trademarks, brand assets, or other third-party materials, you represent and warrant that:
- You own the content or have obtained all necessary rights, licenses, consents, and permissions to upload it and to allow TIMEPLACEME to use it for platform operation.
- The content does not infringe or misappropriate any copyright, trademark, privacy, publicity, database, contractual, or other intellectual property or proprietary right of any third party.
- If you upload or display a logo, trademark, poster, venue name, brand asset, or third-party material, you have the right to use it in connection with the relevant event listing and to authorize TIMEPLACEME to host, store, resize, reproduce, display, distribute, and make it available in the platform, event previews, share pages, notifications, and promotional platform surfaces.
- The content is accurate, lawful, not misleading, not defamatory, not harmful, not obscene, not discriminatory, and does not contain malware, hidden tracking, or unlawful personal data.
- You grant TIMEPLACEME a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, resize, adapt for technical formatting, display, distribute, and otherwise use the content solely as needed to operate, secure, improve, promote, and provide the event-discovery and ticket-gifting services.
2.3 User Responsibility
You are solely responsible for the accuracy, legality, validity, ownership, permissions, and rights associated with any ticket, event information, or content you upload or share. TIMEPLACEME does not pre-verify every ticket, event, organizer rule, venue rule, ownership claim, logo, trademark, image, description, or admission right. We may review, moderate, remove, disable, or restrict content or accounts when we receive a notice, detect misuse, or reasonably believe that content or activity violates these Terms, applicable law, or third-party rights.
3. Platform Role and Liability Disclaimer
3.1 Intermediary Service
TIMEPLACEME stores and displays information provided by users, partners, and other third parties at their request. We act as a neutral intermediary and hosting platform for user-submitted and partner-submitted event information and free ticket gifting. We do not control event organizers, venues, ticket issuers, other users, or third-party content.
TIMEPLACEME is not the organiser, seller, host, or guarantor of any event. Event details are provided by the source, partner, or gifting user. Please verify all information on the official event page before attending.
A gift made or received through TIMEPLACEME does not create any direct contract with TIMEPLACEME for the event itself. TIMEPLACEME only provides the technology for gifting and discovering unused experiences.
3.2 No Event or Admission Guarantee
To the fullest extent permitted by law, TIMEPLACEME is not responsible for:
- The quality, safety, legality, accessibility, availability, timing, capacity, cancellation, postponement, relocation, or content of any event.
- The acts, omissions, policies, or decisions of event organizers, venues, promoters, ticket issuers, partners, users, security staff, or other third parties.
- Refusal of admission, venue capacity issues, changes to event rules, duplicate or invalid tickets, expired tickets, technical scanning issues, or a ticket issuer's decision not to honor a ticket.
- Users or partners violating organizer terms, venue rules, ticket issuer terms, intellectual property rights, privacy rights, or applicable law.
- Losses arising from inaccurate, incomplete, outdated, misleading, unlawful, or infringing information uploaded by users, partners, or third parties.
3.3 Service Availability
TIMEPLACEME is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, error-free functionality, perfect matching, event availability, ticket availability, successful attendance, or that every user-submitted ticket or event detail is accurate or valid.
4. Notice, Moderation, and Takedown
4.1 Reporting Illegal or Infringing Content
If you believe that content, a ticket, an event listing, a logo, a trademark, a photo, or other material on TIMEPLACEME is illegal, infringing, unauthorized, fraudulent, misleading, or otherwise violates these Terms, please contact us at [email protected] with enough information for us to review the report.
A useful notice should include the exact URL or event/listing identifier, a description of the content at issue, the reason you believe it is unlawful or unauthorized, your name and email address, your relationship to the rights or event at issue, and any supporting documentation reasonably available to you.
4.2 Our Review Process
We may remove or disable access to specific content, tickets, event listings, accounts, or platform features when we determine, in our reasonable judgment, that action is appropriate under these Terms, applicable law, a rights-holder notice, a platform safety concern, a fraud concern, or a third-party complaint. We may also preserve relevant records where necessary for security, dispute handling, compliance, or legal purposes.
4.3 User Notice and Appeals
Where appropriate and legally permitted, we may notify the affected user or partner about a moderation decision and provide a reasonable opportunity to respond. We may limit the information we share where disclosure could create legal, privacy, security, fraud, or safety risks.
4.4 Repeat Violations
Users or partners who repeatedly upload infringing, unlawful, fraudulent, invalid, misleading, or unauthorized content or tickets may have their content removed and their accounts suspended or terminated.
4.5 Copyright Notices
For copyright complaints, please include a description of the copyrighted work, the location of the allegedly infringing material, your contact information, a statement that you have a good-faith belief that the use is not authorized, a statement that the information in your notice is accurate, and a physical or electronic signature of the rights owner or authorized representative. If applicable law provides a specific notice-and-counter-notice process, we will handle qualifying notices under that process.
5. Partner Agreement
5.1 Partner Responsibilities
Partners, including businesses, venues, organizers, brands, and other approved contributors, are solely responsible for the events, tickets, descriptions, images, logos, offers, availability, capacity, admission rules, venue safety information, and promotional materials they provide to TIMEPLACEME.
- Partners must provide accurate, complete, and current event information.
- Partners must have all rights, permissions, licenses, consents, and approvals needed to list the event, offer the tickets or access, use uploaded logos and brand assets, and allow TIMEPLACEME to display and distribute the materials through the platform.
- Partners must ensure that any ticket or event access offered through TIMEPLACEME is free, gifted, promotional, or otherwise lawfully provided without resale, unless a separate written agreement with TIMEPLACEME expressly states otherwise.
- Partners are responsible for complying with all laws, regulations, venue rules, tax obligations, consumer protection obligations, accessibility requirements, safety requirements, and third-party agreements applicable to their events and offers.
- Partners must honor valid event access made available through TIMEPLACEME, subject only to clearly disclosed event rules, capacity constraints, safety requirements, and lawful venue policies.
5.2 Analytics Access
Where available, partner analytics may include aggregated or operational information such as:
- The number of gifted, claimed, reserved, returned, or used tickets.
- User engagement and participation trends.
- Average attendance or confirmation rates for events.
Partners may not attempt to identify, contact, export, sell, or otherwise use personal user data except as expressly allowed by TIMEPLACEME, the user, and applicable law.
5.3 Permitted and Prohibited Partner Actions
- Partners may offer free tickets, promotional access, exclusive invitations, or platform-approved benefits to TIMEPLACEME users.
- Partners may not collect personal user data without explicit consent and a lawful basis.
- Partners may not use TIMEPLACEME to sell tickets, bypass organizer rules, misrepresent event access, upload unauthorized brand materials, or imply that TIMEPLACEME organizes, sponsors, endorses, guarantees, or operates an event unless expressly agreed in writing.
6. User Conduct
You agree not to misuse TIMEPLACEME. Prohibited conduct includes:
- Uploading tickets or content you do not have the right to share.
- Selling or attempting to sell tickets, event access, Timepoints, reservations, or platform benefits.
- Uploading fraudulent, duplicate, expired, invalid, misleading, or unsafe event information.
- Scraping, harvesting, or misusing user data.
- Circumventing platform controls, moderation, security, or access restrictions.
- Impersonating another person, partner, venue, organizer, brand, or rights holder.
- Using TIMEPLACEME for unlawful, harmful, discriminatory, abusive, deceptive, or commercial resale activity.
7. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TIMEPLACEME, its owners, directors, officers, employees, contractors, partners, service providers, and affiliates from and against any claims, demands, damages, losses, liabilities, penalties, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to your use of TIMEPLACEME, your uploaded tickets or content, your event listings, your violation of these Terms, your violation of law, your infringement or alleged infringement of third-party rights, your breach of organizer or ticket issuer terms, or your fraud, misuse, negligence, or misconduct.
8. Limitation of Liability
To the fullest extent permitted by law, TIMEPLACEME and its owners, directors, officers, employees, contractors, partners, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, loss of goodwill, missed events, denied admission, invalid tickets, event cancellation, third-party conduct, or user-submitted content, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability where liability cannot be limited under applicable law, including liability for fraud, intentional misconduct, or rights that cannot be waived by consumers under mandatory law.
9. Legal Compliance and Mandatory Rights
These Terms are intended to apply to the fullest extent permitted by applicable law. If any provision is found unenforceable, the remaining provisions will remain in effect. Nothing in these Terms excludes mandatory consumer rights or other non-waivable rights that apply to you under the laws of your country of residence.
